Acceptance of Agreement
By the act of sending
payment, you agree to the terms listed here and any additional written
agreements. Please review this page in its entirety before completing payment
and direct any questions here.
Website Terms
By using this
website you agree to the Website Terms. All graphic and textual information on
this site are property of Greenley Design, LLC and are protected under
applicable copyrights, trademarks, registered trademarks and other proprietary
(including but not limited to intellectual property) rights. The copying,
redistribution, use or publication by you of any such matters or any part of
GreenleyDesign.Com, is strictly prohibited. There is no item on this site which
may be downloaded. There are no free graphics and taking (or right clicking and
saving) any image or text from this site is theft.
Design Bid (for custom sites)
Design bids are applicable for 14 days and
will be given you with in 72 hours of review of the requested questionnaire.
Schedule (for custom sites)
To keep your project on track and for
fairness of scheduled clients, all website projects will have a 3 week timeline
once your start date begins unless specifically agreed upon. Any redirection or
delay during the design process, by request or fault of the client may result in
a postponed Go Live date, at which time subsequent projects may need to take
priority at no fault of the designer. Design delays still follow the fee
details, below.
Fee Details (for custom sites)
A 50% deposit is
required for all custom projects. Any remaining balance will be due 21 days
after the start date or upon project completion, whichever occurs first. No
ownership is granted until payment is received in full. A 10% non-refundable
deposit is required to be added to any waiting lists and to reserve your
estimated start date. Any services rendered during the waiting list period will
be billed at the ala cart rate if client declines to participate after wait list
deposit has been made. There is no guarantee of service availability if no
deposit has been made, regardless of any communications that may have
transpired. Any graphic, programming, or design work contracted on an individual
basis are due in full in advance. Due to the nature of the services rendered,
items and services are non-refundable upon acceptance of item. Refunds
may be given if the work is terminated by Greenley Design, LLC and reserves this
right of termination at any instance. Any designs proofs or graphics rendered
will be null and void and ownership remains with Greenley Design, LLC.
Template Approval (for custom sites)
Once a template as been approved by the
client, there is no guarantee on additional included changes or revisions. After
this approval point, there will be restrictions on changes and additions, and
depending on the request, may incur additional charges.
Template Use
(for pre made/fab templates)
Additional
information for pre fabs may be found here.
Templates (including code and graphics) may be used on the original (1) domain
it was purchased for. Your template use is granted for the life of your site. If
your website goes offline for an extended period of time due to domain/hosting interruptions
(for example you do not continue your domain or hosting registration), this
implicates the end of the Life Of Your Site and additional templates may be
resold. The retiring a template option is only applicable for the life of your
site. Templates may not be sold, transferred or purchased for resale unless
permission is granted from Greenley Design. Template graphics including but not limited
to the header graphic, navigation graphics, wallpaper or any other graphic used
in the template may not be used, in their original form or altered (broken up,
cropped, etc) on 3rd party sites or for use outside of the original domain. If
you need additional graphics or banners for use outside of your site (i.e. for
blogs, top sites) or for additional purposes, please contact us to purchase
additional matching graphics. The website created by link to GreenleyDesign.Com
and text must remain intact.
Graphics & Graphic
Set Approval
If a series of graphics are needed, the client will
approve 1 sample graphic. Once this initial graphic has been approved the
completion of the remaining graphics will follow. Any changes to the graphic set
after the approval point, may incur additional charges.
Copyright
Any graphical work, template design and
coding rendered by Greenley Design is non-transferable and non-duplicable. Alterations, additional graphics, or
reproductions of any kind of graphics and web images may not be made with out
permission. Examples of this being resizing, cropping, copying or editing.
Template graphics may only be used on the domain the template is purchased for,
i.e. blog or third party extensions of your site. If you need matching
material, please contact us to purchase graphics for use outside of your
template. The link to GreenleyDesign.Com must remain on each page of a website
designed by GreenleyDesign.Com and may not be removed with out permission.
GreenleyDesign.Com also reserves the right to place any graphics made and a
screenshots on GreenleyDesign.Com for use as a portfolio and/or reference. If
there is any confusion of what you are allowed to do with your graphics, please
contact for clarification or permission.
A. Infringements
Any site
found breaking our copyright agreement or infringing on our copyrights, will be
notified to remove, discontinue use the offending material and request a copy of
any sales made or supported by the use of the offending material.. A
notification will also be sent to any related parties (such as a host, community
admin [i.e. myspace] or auction vender).
B. Client Submitted Website
Content
Anything submitted by the client to
GreenleyDesign.Com to incorporate or use on any design projects must be yours or
with permission to post. Any images or text from other sites, unless purchased
or with permission, are strictly prohibited. By submitting content to
GreenleyDesign.Com, you are claiming ownership of copyrights on all material and
GreenleyDesign.Com is not responsible for any disputes of copyright
infringement. You agree to defend Greenley Design, LLC from any liable that
results in the use such material included any legal fees incurred.
Client Responsibilities
A. Content
Clients
are responsible for all website content (including but not limited to: product
information and product images; any statement pages such as privacy, shipping,
about us, conditions, and any other policy pages; any metatag information),
website marketing and advertising, merchant account, all testing of merchant
account and catalog systems, acquiring ssl certificates, hosting and domain
name. Any site content and image work not added or prepared properly by you in
final draft form may be subject to additional hourly fees.
B. Setup
(email, website & 3rd party products)
Greenley Design, LLC is not
responsible for any services provided by 3rd party companies or software.
Purchase of items for web or print does not guarantee compatibility nor support
for compatibility on your web or computer software or for third party companies
including hosting. For any setup or support related to your website, such as
email or services not agreed upon by Greenley Design, LLC, clients must consult
the hosting company or responsible third party.
Termination
If for any reason you decide to terminate
our agreement, written notice must be given either through electronic or postal
mail. Your project will suspend at such time and no remaining balance will be
due on design work. There will be no refund for any past balance paid before the
termination notification was received and you will forfeit any material
received. You will not have permission to use any graphics, templates, coding or
concepts shown or given to you and any material received will be removed. If
contact cannot be established after a 30 period and their is remaining balance
due, this inactivity will result in contract termination and the above stated
will result.
* Final = the approved, last and usable version of your template or graphic.
You will receive proofs (non-usable graphics or screenshots meant to use for
your approval only) during the design process. Proofs, in any form, are not
intended for or allowed to be used in any manner outside of a visual for your
approval. Once you receive your final, approved version, all proofs remain
property of Greenley Design and may be used on other projects.
